Verbal agreements tend to not work. Putting the terms of the partnership in writing is the smartest thing you can do to protect your business. The enunciation of rights and responsibilities in a partnership agreement in writing better equip it to resolve disputes, if arise. You'd be surprised how minor misunderstandings can erupt into full-blown fights. Also, when you do not have a written agreement saying otherwise, the state's law will control many aspects of your business.

   Following a partnership agreement helps your business in many different ways. It clearly defines the role of each partner and will structure the relationship in a way that suits the business. In the agreement, you can define how you and your partner will share the profit or loss, what happens if a partner leaves the company, and other guidelines or you think their partners are very important.

   One area covers all the agreements is the name of the partnership. You can use your own last names, such as the famous business partnership Smith & Wesson, or use a compound name such as North side Technicians. If you choose to become a name, then you must make sure the name is not already in use, then make a fictitious business name statement with your county clerk.

   The second area most business partnership is to cover the contributions to the partnership. It is important that you and your partners, and agree in writing which will contribute in cash, goods or services for the company. Furthermore, I agree with each partner's ownership percentage. Partnerships that do not outline these terms tend to fall apart when disagreements over who has to make that happen.

   The third area most partnerships agreements cover is the allocation of profits, loses and draws. This tends to be a critical area in determining the success of a business partnership. How profits and losses will be affected? Will they be allocated based on each partner's percentage of ownership in the business? How will profits be distributed and when? This is an area in which each partner must be particularly attentive to their agreeing to the terms.
